# End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and **Erickson Media Services LLC** ("Company," "we," "us") doing business as **Flash Party Photo Booth DFW**, governing your use of the QuickBooks integration software and related tools (the "Software") provided by the Company.


By installing, accessing, or using the Software, you agree to be bound by this Agreement.


## 1. License Grant


Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the Company's internal accounting and bookkeeping operations.


## 2. Permitted Use


The Software is intended for the Company's internal business use only, including but not limited to:


- Connecting to the Company's QuickBooks Online account via the Intuit Developer API

- Reading, categorizing, and managing the Company's financial records

- Generating financial reports


## 3. Restrictions


You may not:


- Copy, modify, distribute, sell, sublicense, rent, or lease the Software to any third party

- Reverse engineer, decompile, or disassemble the Software except as permitted by applicable law

- Use the Software to access any QuickBooks account other than the Company's own

- Use the Software in any unlawful manner or in violation of Intuit's Developer Terms of Service


## 4. Intellectual Property


The Software incorporates open-source components and may include code authored by third parties under their respective licenses. The Company's specific configuration and integration of the Software remains the property of Erickson Media Services LLC. All rights not expressly granted are reserved.


## 5. Data and Privacy


The Software accesses financial data stored in QuickBooks Online. Use of the Software is also subject to our [Privacy Policy](https://www.flashpartyphotobooth.com/privacy-policy), which describes how data is handled. Authentication tokens and credentials are stored locally on the user's device and are not transmitted to the Company's servers.


## 6. Disclaimer of Warranties


THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.


## 7. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.


## 8. Termination


This Agreement is effective until terminated. The Company may terminate this Agreement at any time. Upon termination, all rights granted under this Agreement will cease, and you must stop using the Software.


## 9. Governing Law


This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the courts of Tarrant County or Dallas County, Texas.


## 10. Changes to This Agreement


The Company may update this Agreement from time to time. The "Last Updated" date at the top reflects the most recent revision. Continued use of the Software after changes constitutes acceptance of the revised Agreement.
